By using the website or platform, you confirm that you have read, understood, and accepted these Terms. The service does not transfer ownership or grant a right to copy, sell, or exploit protected elements beyond the limited license below.

EXPRESS PLATFORM PROTECTION

No copying, sale, theft, or exploitation without permission

Access to the platform is a limited-use license, not a sale of the software. The Company reserves the right to pursue available civil and criminal remedies against anyone who copies, sells, steals, hacks, reuses protected elements, or assists others in doing so without legal authorization.

01

Acceptance and authority

Accessing the website, creating an account, or using all or any part of the platform constitutes acceptance of these Terms. Anyone registering for a company confirms that they are legally authorized to bind it. If you do not agree, you must not use the service.

02

Service and limited license

For the duration of an active account or subscription, the Company grants the customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use the platform internally, and only within the approved plan and permissions. No ownership in the platform or its technology transfers to the customer.

03

Intellectual property and platform rights

The platform, website, and all their components are owned by or licensed to the Company and are protected by applicable intellectual-property, copyright, and other laws. All rights not expressly granted remain fully reserved.

  • This includes source and object code, databases, algorithms, data models, workflows, analytics, reports, text, graphics, designs, interfaces, visual identity, trademarks, and trade names.
  • Subscription, payment, or access does not grant any right to sell or own the platform, copy its technology, or claim its development or ownership.
  • General feedback and suggestions may be used to improve the service without disclosing confidential data or transferring ownership of customer operational content.
04

Prohibited uses

The following acts, or attempts to perform them directly or through another party, are prohibited without the legal owner’s prior express written consent:

  • Copying, reproducing, publishing, distributing, selling, leasing, reselling, or offering all or part of the platform or website as a service to others.
  • Modifying, translating, creating derivative works, or cloning protected interfaces, designs, workflows, or other protected elements.
  • Reverse engineering, disassembling, decompiling, or attempting to extract source code, algorithms, or technical secrets, except where non-waivable law expressly permits it.
  • Removing copyright or trademark notices or attribution, or using the platform name, logo, or Company identity in a way that suggests partnership, ownership, or endorsement.
  • Circumventing plan limits, usage controls, or permissions; sharing accounts; selling credentials; or enabling unauthorized access.
  • Automated collection, scraping, robots, or building aggregated copies of content unless an official feature expressly permits it.
  • Penetration testing, vulnerability scanning, or bypassing protection without written authorization and an approved scope, or introducing malware or disrupting the service.
  • Using the platform to build a competing product, train another system on its protected elements, or transfer confidential technical knowledge to a third party.
05

Accounts and user responsibility

The customer must provide accurate, current information, identify authorized users, protect passwords and verification codes, and review permissions regularly. The customer is responsible for activity through its accounts unless unauthorized access is reported promptly.

06

Acceptable use

The service must be used for lawful business purposes and in compliance with applicable laws, rights, and professional rules. Illegal, misleading, or infringing content, fraud, harm, harassment, and privacy violations are prohibited.

07

Customer data and content

The customer retains its rights in data and documents entered into the platform. The customer grants the Company the limited permission needed to host, process, back up, and display them to authorized users solely to provide, protect, and support the service and meet legal requirements.

  • The customer confirms it has the authority, rights, and consents needed to enter personal, client, supplier, employee, and document data into the platform.
  • The Company does not sell customer data or share it for unrelated commercial purposes.
  • Personal-data processing is governed by applicable law, the privacy policy, and the Security & Privacy page.
08

Plans, subscriptions, and payment

The selected plan determines features, limits, price, and billing cycle. The customer is responsible for applicable fees and taxes, and access may be suspended for non-payment or subscription expiry. Offers and discounts are subject to their stated duration and conditions and are not combined unless expressly stated.

  • Prices and renewal terms are displayed before payment, and plans may be changed through available account options.
  • Unless mandatory law or a written offer provides otherwise, fees for periods or services already used or commenced are non-refundable.
  • A third-party payment provider may process card details under its own terms and policies. Card details must not be sent in messages or fields not intended for payment.
09

Security and privacy

The Company applies layered controls to protect accounts and data, but no internet-connected service can guarantee zero risk. Customers must follow security instructions and promptly report suspected compromise, breach, or misuse.

10

Availability and updates

The platform may be updated, improved, or changed to preserve security, performance, compliance, or product development. Access may be temporarily interrupted for maintenance or circumstances beyond reasonable control. The service is not guaranteed to be entirely error-free or continuously uninterrupted.

11

Confidentiality and trade secrets

Non-public technical information, code, architecture, algorithms, development documentation, product plans, and security methods are Company confidential information and trade secrets. Non-public customer data is likewise treated confidentially for the service purpose. Neither party may disclose the other’s confidential information except to authorized persons with a need to know or where required by law.

12

Suspension, protection of rights, and legal action

Where a breach or security threat is suspected, the Company may take proportionate measures including restricting, suspending, or terminating access, preserving records and evidence, and investigating within legal limits. Account termination does not prevent the Company from protecting its rights or claiming compensation.

  • The Company may seek an order to stop infringement, remove unlawful copies or materials, and prevent continued unauthorized use.
  • It may claim compensation for damage, loss, costs, and legal expenses to the extent permitted by law.
  • Suspected theft, piracy, hacking, fraud, or other criminal misuse may be reported to and investigated with competent authorities.
  • Any grace period or settlement attempt does not waive rights or accept a breach.
13

Warranties and limitation of liability

The platform is a business-management aid and does not replace professional, accounting, engineering, or legal judgment. The customer remains responsible for reviewing outputs, decisions, and documents before approval. To the fullest extent permitted by law, the Company is not liable for indirect or consequential loss, lost profits, opportunities, or data caused by misuse or unreviewed reliance.

  • Where not prohibited by law, the Company’s total aggregate liability will not exceed fees paid by the customer for the service during the 12 months preceding the event giving rise to the claim.
  • No exclusion or cap applies to liability that law does not permit to be excluded or limited, including fraud or willful misconduct where the law so provides.
14

Indemnity for violations

To the extent permitted by law, the customer will indemnify the Company, its officers, and employees against claims, damage, and costs arising from unlawful customer content, infringement of third-party rights, misuse of the service, or breach of these Terms, without relieving the Company of liability that cannot lawfully be excluded.

15

Termination and post-termination data

The license ends immediately when the account expires, is cancelled, or is terminated, and use of the platform and protected materials must stop. Post-termination data retrieval, retention, or deletion is subject to the plan, published policy, legal requirements, and applicable security backups.

16

Changes to these Terms

These Terms may be updated to reflect product, legal, or security changes. The revision date will be published and appropriate notice of material changes will be provided where required. Continued use after an update takes effect constitutes acceptance, subject to mandatory legal rights.

17

Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates, and the courts of the Emirate of Dubai have jurisdiction over related disputes, unless mandatory applicable law requires another forum or non-waivable right. The parties should first attempt in good faith to resolve disputes amicably.

18

General terms and contact

If a provision is unenforceable, the remainder stays effective and the provision will be interpreted as closely as legally possible to its intended purpose. Failure to enforce a right immediately is not a waiver. The customer may not assign its rights or duties without written consent. These Terms, together with the order, plan, and linked policies, form the entire agreement for use of the service. Where versions conflict, the Arabic version controls to the extent legally permitted.

LEGAL FRAMEWORK

Rights protected under UAE legislation

These Terms are read together with applicable UAE legislation, including copyright, cybercrime, and personal-data protection laws and their replacements or amendments. The references below do not limit the rights or laws that may apply.
